MEMBER/USER AGREEMENT

All individuals applying to become a Member (hereinafter referred to as "Member") of The Connection Tree Inc., an Ohio corporation (hereinafter referred to as "The Connection Tree," "Connection Tree" or "the Company") and all individuals desiring to use The Connection Tree website, understand and agree to the following terms and conditions which, combined with the Posting Policies and Guidelines, and Privacy Policy, are collectively referred to as the Member/User Agreement (hereinafter and throughout the website and other documents sometimes referred to as the "Member Agreement"):

• 1. Eligibility to Use Site. The general public has limited access to the services offered on our Site. Only registered Members have full access to all of the products and services offered on the Site. If a Member desires to participate in The Connection Tree business opportunity and be paid for referring others to The Connection Tree, the Member must upgrade his registration to that of an Associate, which is covered under separate agreement.
  
  Our Member services are available only to, and may only be used by individuals and entities that can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to children (persons under the age of 18) or to those Site Users that have been temporarily or indefinitely suspended by The Connection Tree Inc. from using the Site or who have canceled their membership. If you are under the age of 18, you can use this service only in conjunction with, and under the supervision of your parents or guardians. If you do not qualify, please do not use our Site.
  
  If you are registering as a business entity, you represent that you have the authority to bind the entity to this Agreement.
  
  You may not allow non-members to access our services through your membership or by sharing your password.
  
  The Connection Tree Inc. reserves the right to refuse service and/or to suspend service to anyone and everyone at any time and for any reason deemed appropriate by The Connection Tree Inc., in its sole, unrestricted discretion.
  
  
• 2. E-mail. The Connection Tree Inc. utilizes e-mail as a vital and primary communication channel. As a Member/Site User, you hereby acknowledge and grant The Connection Tree Inc. permission to communicate with you via e-mail (as well as other communication channels such as phone and fax) for any purposes The Connection Tree Inc. determines to be relevant, including but not limited to: system messages, product updates, service announcements and other marketing messages. The Connection Tree Inc. will use best efforts to honor your request to opt out of marketing messages, but under no circumstances will The Connection Tree Inc. have any liability for sending any e-mail to its Site Users.
  
  The Connection Tree Inc. platform provides specific methods for contacting other Member/Users. You agree not to use SPAM, also known as Unsolicited Commercial E-mail (UCE), or fax broadcasting or automated telemarketing by phone to any other Member/Users. We have a zero tolerance policy for such action and, for the protection of all Member/Users; your failure to comply may result in immediate termination of your Membership.
  
  
• 3. Fees for Products and Services. We may change the fees for our products and services from time to time, effective immediately upon posting the changes on the Site. We may also, in our sole discretion, change some or all of our products and services at any time. In the event we introduce a new product or service, the fees for that service are effective at the launch of the product or service. Unless otherwise stated, all fees are payable in U.S. Dollars.
  You are responsible for paying all fees associated with using our products and services and the Site, as well as all applicable taxes. You hereby authorize The Connection Tree to electronically withdraw payment from your checking account or credit card for any order you place directly. The Connection Tree is authorized to withdraw payment equal only to the amount of the products or services that you order, including but not limited to your Auto-Subscription Fee, plus applicable sales tax and shipping and handling. In the event a check or charge is dishonored for any reason, I agree to pay a thirty dollar ($30.00) service fee.
  
  
• 4. Submission and Administration of Profiles. By agreeing to this Member/User Agreement, you acknowledge that you have read and agree to the Posting Policies and Guidelines. You agree not to submit to The Connection Tree Inc. any property descriptions or photographs, or any financial, contact or other information, any place on the Site unless you have received all necessary rights and authorizations, including but not limited to authorization from the borrower or owner of the property, as well as from the photographer and/or copyright owner of any photographs. The Connection Tree Inc. may, in its sole discretion, but without any obligation to, search for such and remove any Postings that are alleged to have been submitted in violation of this provision. In addition, The Connection Tree Inc. may require additional evidence of compliance with this provision from any Member/User who is alleged to have submitted Postings in violation of this Agreement.
  
  In its sole, unrestricted discretion, The Connection Tree Inc. may terminate the registration of, and/or refuse service to, anyone who violates this Agreement, whether such violation is willful or not. In addition, you agree to allow any Postings which you make, including your Profile, or any part of them, to be searched, displayed, accessed, downloaded, copied, and otherwise referred to and/or used by users of the Site or by The Connection Tree Inc. for any purpose deemed appropriate by The Connection Tree Inc. in its sole unrestricted discretion, including but not limited to purposes that are unrelated to your use of the Site, including, for example, marketing and promotional purposes, from which The Connection Tree Inc. may profit without compensating you.
  
  The Connection Tree Inc. shall have the sole authority to choose the manner in which any Profiles and/or Postings will be searched, displayed, accessed, downloaded, copied, and otherwise used on the Site, and The Connection Tree Inc. shall have the right to modify the Profiles/Postings in the exercise of its rights under this Agreement. You (a) represent and warrant that all Profiles and associated information provided by you will be accurate; (b) that you will not permit a posting on The Connection Tree Inc. system if such posting violates any law or the rights of anyone else or is otherwise prohibited; (c) agree to administer the Postings provided by you and maintain their accuracy at all times.
  
  In its sole, unrestricted discretion and for any reason or no reason at all, The Connection Tree Inc. reserves the right to remove all or any part of any Posting on the Site. The Connection Tree Inc. accepts no responsibility for checking the accuracy of data and information submitted by anyone in any Postings or Profiles and makes no representations or warranties about any data or information available on the site. Your use of the site is strictly at your own risk, regardless of the efforts, if any, that The Connection Tree Inc. may have made to ensure accuracy. Whether or not The Connection Tree Inc. expends efforts for data backup and business resumption (The Connection Tree Inc. hereby disclaims any obligation or duty to do so), you will be solely responsible for retaining back-up copies of all information, photographs and other materials you provide to The Connection Tree Inc.
  
  
• 5. Other Users. USE OF THIS SITE IS AT YOUR OWN RISK! We are not responsible for verifying the accuracy of the information our users provide to us when they register on the Site. The Connection Tree Inc. cannot and does not confirm each user’s purported identity. In the event that you have a dispute with one or more Member/Users, you release The Connection Tree Inc. (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."
  
  We do not control the information provided by other users that is made available through our system. Other user’s information may be offensive, harmful, inaccurate, deceptive or fraudulent. Please use caution and common sense when using the Site. Please note that there are also risks of dealing with underage persons or people acting under false pretense. Additionally, there may also be risks dealing with international trade and foreign nationals. By using this Site, you agree to accept such risks and The Connection Tree Inc. is not responsible for the acts or omissions of users on the Site.
  
  
• 6. Use of Information. You agree to treat all information obtained on the Site, including, for example, information from Postings and/or Profiles ("Content") as proprietary to The Connection Tree Inc. You agree that Content reserved for registered Member/Users will be maintained as confidential and shall be protected as a trade secret of The Connection Tree Inc. The Connection Tree Inc. does not ensure the accuracy of, endorse, or recommend any Content, and you may use such Content at your own risk. You may access the Content solely to obtain initial information from which further evaluation and investigation may commence. You shall limit access to and use of Content to personal and internal use, and shall not use Content for further distribution, publication, public display, or preparation of derivative works or facilitate any of these activities in any way. You shall not use or reproduce any Content that is obtained from the Site, or that is otherwise made available to you on the Site, for or in connection with any other business service or device. If you violate these specific terms, especially if you use the Site in an abusive or excessive manner, by automated or manual means, then you shall be subject to immediate suspension of your use and will be liable for damages in an amount equal to any revenues you received relating to your use of the Site.
  
  
• 7. Your Information and Activities.
  
  
• 7.1 Definition. "Your Information" is defined as any information you provide to us or other users of the Site, whether posted on the Site or provided directly to other Site Users "offline" and/or not through direct use of the Site. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of some, but not all, of Your Information.
  
  
• 7.2 Restricted Activities. Your Information and your activities on the Site shall not:
  
  
• (a) provide competing business networking opportunities, as further described in Section 8 below;
  
  
• (b) be false, inaccurate or misleading;
  
  
• (c) be fraudulent or involve any proposed transactions relating to properties that you do not own or lease or with respect to which you do not have an association or relationship that is documented in a written contract, which you shall provide to The Connection Tree Inc. upon its request for further distribution by The Connection Tree Inc. at its sole unrestricted discretion to Member/Users and/or others;
  
  
• (d) infringe on any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  
  
• (e) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, antidiscrimination or false advertising);
  
  
• (f) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing;
  
  
• (g) be obscene or contain child pornography;
  
  
• (h) contain any viruses, Trojan horses, worms, time bombs, cancel bots, Easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
  
  
• (i) create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and
  
  
• (j) link directly or indirectly to or include information and/or descriptions that:
  
  
• (aa) are prohibited under this Agreement;
  
  
• (bb) duplicative;
  
  
• (cc) you do not have a right to include.
  
  

Furthermore, you may not provide Your Information or engage in any activities on the Site (or consummate any transaction that was initiated using the Site) that could cause us to violate any applicable law, statute, ordinance or regulation.

Members’ contact information is provided for the purpose of establishing individual networking. You may not in any way harvest the contact information for the purpose of mass marketing products, services, or business opportunities outside The Connection Tree platform. This is proprietary information and considered to be intellectual property of The Connection Tree. Violation shall result in termination of Membership and swift legal action.


• 7.3 License. You grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights you have in Your Information, in any media now known or not currently known, with respect to Your Information. The Connection Tree Inc. will only use Your Information in accordance with our Privacy Policy.
  
  
• 8. Competing Business Opportunities. We recognize that there are many benefits to be gained by Members belonging to different networks and cooperating with each other for mutual success; however, because many Members of The Connection Tree are also Independent Business Associates building their own independent Connection Tree networking businesses, offering other network business opportunities to Members can seriously jeopardize the Independent Business Organizations of Connection Tree Associates. Therefore, the policies listed below will be strictly enforced; violation may result in the suspension or termination of your Membership.
  
  In as much as it is the mission of the Company to promote good will and synergy with Real Estate Investor Associations (REIA), REIA groups in general are not considered competing organizations and, without due cause, are considered exceptions to this Section 8.
  
  
  • 8.1 Membership in Competing Companies. The Company does not restrict an Associate from belonging to another network marketing company or from participating in another company’s affiliate program; however, the Company reserves the right at its sole discretion to restrict Associates’ membership in competing network marketing companies offering business networking and wealth building educational products if the Company deems it necessary in order to protect the interests of the Company and other Associates.
    
    
  • 8.2 Soliciting Other Members. Provided that the other network marketing company’s business opportunity is not in direct competition with The Connection Tree, you may present the opportunity to Members whom you have personally enrolled and sponsored into The Connection Tree; however, you are strictly prohibited from presenting any other networking business opportunity whatsoever to Connection Tree Members that you did not personally enroll and sponsor.
    
    
  • 8.3 Strict Prohibitions. You are strictly prohibited from presenting other business networking opportunities in the following manner:
    
    
  • (a) Sending e-mails or otherwise contacting your entire downline concerning any other networking opportunity whatsoever;
    
    
  • (b) Offering any other network company’s business opportunity whatsoever at any Connection Tree meeting (second time violators, whether Members or visitors, will be barred from meetings); and
    
    
  • (c) Offering any other network company’s business opportunity whatsoever on any Connection Tree Internet forum.
    
    
  
  All complaints against other Members in this regard must be made in writing to The Connection Tree Compliance Department and mailed to Company’s corporate office.
  
  
• 9. Competing Products and Services. The Company reserves the right to restrict the use of The Connection Tree network to promote any competing products or services, such as: other real estate/business networks or wealth building educational products.
  
  
• 10. Access and Interference. Information on the Site is updated on a real time basis and may be proprietary or licensed to The Connection Tree Inc. by our users or third parties. You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately large load on our infrastructure; (ii) copy, reproduce, modify, create derivative works from, distribute or publicly display any content (except for Your Information) from the Site without the prior expressed written permission of The Connection Tree Inc. and the appropriate third party, as applicable; (iii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site; or (iv) bypass measures we may use to prevent or restrict access to the Site.
  
  
• 11. Breach. Without limiting other remedies, we may limit your activity, immediately remove your Profile and/or Postings, warn our community of your actions, issue a warning, temporarily suspend, indefinitely suspend or terminate your use of the Site and refuse to provide our services to you if: (a) you breach this Agreement or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide to us; (c) we believe that your actions may cause financial loss or legal liability for you, our users or us, or (d) we do not believe, for whatever reason, that your continual use of the Site is in our best interests or the best interests of other users.
  
  
• 12. Disclaimer. The Connection Tree is dedicated to providing the highest quality of real estate and wealth-building education and information available, as well as a networking platform for its members to share ideas and resources relating to real estate investing and wealth building. However, the Site is not a substitute for specific legal and other professional advisors, and should not be regarded or relied upon as the provision of legal or other advice. The information and documents published on this Site or made available through use of this Site are provided for educational and reference purposes only. All information, transaction ideas and documents must be reviewed, verified and custom-tailored by your own counsel to ensure appropriate application to your own transaction(s) and compliance with legal, tax, accounting and jurisdictional requirements.
  
  While the educational materials may be useful in the pursuit of certain specific business or investment opportunities related to the subject matter therein, no representation, expressed or implied, is made concerning the individual effectiveness or success of the application of the concepts or techniques presented. The Connection Tree, along with the authors and publishers of all materials provided through The Connection Tree, including but not limited to home study courses, webinars, and seminars, specifically disclaim any liability for any direct, indirect, consequential, incidental, exemplary, special or punitive damages which may be incurred as a consequence, directly or indirectly, of the use or application of any of the ideas, concepts, methods, techniques, forms, documents, or contents presented or implied through The Connection Tree.
  
  Due to the expansive nature of the networking platform, The Connection Tree cannot and does not make any warranties or representations concerning any Members of The Connection Tree or any services or opportunities that Members may provide. Members contact one another and utilize one another’s services and take advantage of opportunities entirely at their own risk. The Connection Tree specifically disclaims any liability for loss or risk, personal or otherwise, which may be incurred as a consequence, directly or indirectly, of networking with other Members, utilizing other Member’s services, or participating in business or investment opportunities with other Members.
  
  The foregoing disclaimers also apply to all information, and documents obtained from web sites contacted through hyperlinks from this site. The Connection Tree Inc. does not endorse, approve, support, recommend, or attest to the quality or accuracy of any products, services or information obtained from any web sites linked to this site and such links are provided only for the convenience of our users.
  
  
• 13. Refunds. You may return educational products, other than electronic courses and live training, for a full refund, excluding shipping, provided that the item is received at the Company’s corporate office in resalable condition within thirty (30) days of original receipt.
  
  
  • 13.1 Procedure for Returns. You must obtain a return authorization number from the Customer Care department before returning any home study material. We suggest returning items via certified, traceable mail. No refunds will be made on the original shipping charges, and you are responsible for all return shipping charges. Refunds will be made by check within 30 days of receiving the returned product.
    
    
  • 13.2 Non-refundable Products and Services. Because of the nature of the purchase, there are no refunds on Connection Tree services, live training seminars or classes, monthly subscription fees, digital portfolios, information data feeds, video information and other electronically delivered media.
    
    
• 14. Copyright and Trademark Notices. The Connection Tree, connectiontree.com, and theconnectiontree.com are trademarks of The Connection Tree Inc. All HTML code, database source code, graphics, audio and video clips, content, writings, and the selection and organization of content and writings on this site are copyrighted, 2009, by The Connection Tree Inc. with all rights reserved.
  
  
• 15. Privacy. We do not sell or rent your personal information to third parties for their marketing purposes without your consent, and we only use your information as described in the Privacy Policy. We view protection of users’ privacy as a very important community principle. By agreeing to the terms and conditions of this Member/User Agreement, you also acknowledge that you have reviewed and agree to the Privacy Policy. If you object to Your Information being transferred or used in this way, please do not use our services.
  
  
• 16. No Warranty. We, our subsidiaries, officers, directors, employees and our suppliers provide our web site and services "as is" and without any warranty or condition, express, implied or statutory. We, our subsidiaries, officers, directors, employees, and our suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.
  
  
• 17. Liability Limit. In no event shall we, our subsidiaries, officers, directors, employees or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or this agreement (however arising, including negligence).
  
  Our liability, and the liability of our subsidiaries, officers, directors, employees, and suppliers, to you or any third parties in any circumstance is limited to the greater of (a) the amounts you pay to us in the month prior to the action giving rise to liability, and (b) $100. Some States do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
  
  
• 18. Indemnity. You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
  
  
• 19. Legal Compliance. You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Site.
  
  
• 20. No Agency. You and The Connection Tree Inc. are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
  
  
• 21. Notices. Except as explicitly stated otherwise, any notices shall be given by registered mail, return receipt requested, to The Connection Tree Inc., 11177 Reading Road, Cincinnati, Ohio 45241 (in the case of The Connection Tree Inc.) or to the email address you provide to The Connection Tree Inc. during the registration process (in your case). Notice shall be deemed given 24 hours after e-mail is sent, unless the sending party is notified that the e-mail address is invalid. Alternatively, we may give you notice by certified mail, and return receipt requested, to the address provided to The Connection Tree Inc. during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.
  
  
• 22. Resolution of Disputes. In the event a dispute arises between you and The Connection Tree Inc., our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and The Connection Tree Inc. agree that any claim or controversy at law or equity that arises out of this Agreement or our services ("Claims") shall be resolved in accordance with one of the subsections below or as otherwise mutually agreed upon in writing by the parties. Before resorting to these alternatives, we strongly encourage you to first contact us directly to seek a resolution and we will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation, as an alternative to litigation.
  
  
  • 22.1 Binding Arbitration. For any Claim (excluding Claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, you or The Connection Tree Inc. may elect to resolve the dispute through binding arbitration conducted by telephone, on-line and/or based solely upon written submissions where no in-person appearance is required. In such cases, the arbitration shall be administered by the American Arbitration Association or JAMS in accordance with their applicable rules, or any other established ADR provider mutually agreed upon by the parties. Any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
    
    
  • 22.2 Court. Alternatively, any Claim may be adjudicated by a court of competent jurisdiction located in Hamilton County, Ohio. You and The Connection Tree Inc. agree to submit to the personal jurisdiction of the courts located within the county of Hamilton County, Ohio. The laws of the State of Ohio shall apply to all matters related to this Agreement, regardless of any conflicts of law principles.
    
    
  • 22.3 Alternative Dispute Resolution. Alternatively, The Connection Tree Inc. will consider use of other alternative forms of dispute resolution, such as binding arbitration to be held in Hamilton County, Ohio or another location mutually agreed upon by the parties.
    
    All Claims (excluding requests for injunctive or equitable relief) between the parties must be resolved using the dispute resolution mechanism that is selected in accordance with this Section by the first party to file a Claim. Should either party file an action contrary to this Section 22, the other party may recover attorneys’ fees and costs up to $1,000, provided that the party seeking the award has notified the other party in writing of the improperly filed Claim, and the other party has failed to withdraw the Claim.
    
    If a Member wishes to bring an action against The Connection Tree for any act or omission relating to or arising from the Agreement, such action must be brought within one year from the date of the alleged conduct giving rise to the cause of action. Failure to bring such action within such time shall bar all claims against The Connection Tree for such act or omission. The Member waives all claims that any other statutes of limitations apply.
    
    
• 23. Additional Terms. The following policies are incorporated into this Agreement by reference and provide additional terms and conditions related to specific services offered on the Site: Privacy Policy, and Posting Policies and Guidelines. Additionally, when using particular services on the Site, you agree to abide by any posted policies or rules applicable to the services, which are also hereby incorporated by reference into this Agreement. We reserve the right to change this Agreement and all policies and postings incorporated herein by reference. You agree to abide by said changes, which are effective immediately after we post the changes on the Site.
  
  
• 24. General. This Agreement shall be governed in all respects by the laws of the State of Ohio as such laws are applied to agreements entered into and to be performed entirely within Ohio between Ohio residents, regardless of any conflicts of law principles. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of the Site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement and all incorporated agreements may be automatically assigned by The Connection Tree Inc. in accordance with Section 21 "Notices," in our sole discretion. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. Sections 3 (Fees for Products and Services) with respect to fees owed for our services, 7.3 (License), 8 (Competing Business Opportunities), 9 (Competing Products and Services), 10 (Access and Interference), 17 (Liability Limit), 18 (Indemnity), and 22 (Resolution of Disputes) shall survive any termination or expiration of this Agreement.

POSTING POLICIES & GUIDELINES

These Posting Policies and Guidelines ("Posting Policies") are incorporated into and made a part of The Connection Tree Member/User Agreement. Please familiarize yourself with these Posting Policies prior to entering a Profile or placing any Posting on The Connection Tree website. All Postings of any type, including the Member Profile, are subject to these Posting Policies.

• 1. Postings. Postings contain personal information submitted by Site User that relates to his/her use of the Site Postings include, but are not limited to, the Member Profile, Property Listings, Advertisements, and other networking messages. Such information is viewable by other users, but can only be created or modified by the Site User logging into his/her account.
  
  
• 2. Posting Review. The Connection Tree reserves the right, but not the obligation, to review Postings submitted by Site User ("Posting Review") before allowing them to be viewed by other users. Although Site User’s Postings may be subject to Posting Review, Site User remains solely responsible for abiding by the Posting Policies and Guidelines, as well as The Connection Tree Member/User Agreement and other policies and procedures as may be posted on the website from time to time.
  
  
• 3. Authority to Post Information. The Posting Policies prohibit Site User from entering any Posting that infringes upon the intellectual property rights of any party or that otherwise violates the Member/User Agreement. By entering a Posting on The Connection Tree Site, the Site User warrants and represents that the Site User owns or otherwise controls all of the rights to such content including, without limitation, all the rights necessary for the Site User to provide, post, upload, input or submit such content. Site User acknowledges that The Connection Tree cannot police or control all user-generated content that is made available on The Connection Tree site.
  
  
• 4. Restricted Activities. Site Users shall not:
  
  • (a) Provide competing business networking opportunities, as further described in Section 5 below;
    
    
  • (b) Be false, inaccurate or misleading; be fraudulent or involve any proposed transactions relating to properties that you do not own or lease or with respect to which you do not have an association or relationship that is documented in a written contract, which you shall provide to The Connection Tree Inc. upon its request for further distribution by The Connection Tree Inc. at its sole unrestricted discretion to Member/Users and/or others;
    
    
  • (c) Infringe on any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
    
    
  • (d) Violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, antidiscrimination or false advertising);
    
    
  • (e) Be defamatory, trade libelous, unlawfully threatening or unlawfully harassing;
    
    
  • (f) Be obscene or contain child pornography;
    
    
  • (g) Contain any viruses, Trojan horses, worms, time bombs, cancel bots, Easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
    
    
  • (h) Create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and
    
    
  • (i) Link directly or indirectly to or include information and/or descriptions that:
    
    
  • (aa) are prohibited under this Agreement;
    
    
  • (bb) duplicative;
    
    
  • (cc) you do not have a right to include.
    
    
  
  Furthermore, you may not provide Your Information or engage in any activities on the Site (or consummate any transaction that was initiated using the Site) that could cause us to violate any applicable law, statute, ordinance or regulation.
  
  
• 5. Competing Business Opportunities. We recognize that there are many benefits to be gained by Members belonging to different networks and cooperating with each other for mutual success; however, because many Members of The Connection Tree are also Independent Business Associates building their own independent Connection Tree networking businesses, offering other network business opportunities to Members can seriously jeopardize the Independent Business Organizations of Connection Tree Associates. Therefore, the policies listed below and described in more detail in Section 8 of the Member/User Agreement, will be strictly enforced; violation may result in the suspension or termination of your Membership.
  In as much as it is the mission of the Company to promote good will and synergy with Real Estate Investor Associations (REIA), REIA groups in general are not considered competing organizations and, without due cause, are considered exceptions to this Section 5.
  
  
  • 5.1 Soliciting Other Members. Provided that the other network marketing company’s business opportunity is not in direct competition with The Connection Tree, you may present the opportunity to Members whom you have personally referred to The Connection Tree; however, you are strictly prohibited from presenting any other networking business opportunity whatsoever to Connection Tree Members that you did not personally enroll and sponsor.
    
    
  • 5.2 Strict Prohibitions. You are strictly prohibited from presenting other business networking opportunities in the following manner:
    
    
  • (a) Sending e-mails or otherwise contacting your entire downline concerning any other networking opportunity whatsoever;
    
    
  • (b) Offering any other network company’s business opportunity whatsoever at any Connection Tree meeting (second time violators, whether Members or visitors, will be barred from meetings); and
    
    
  • (c) Offering any other network company’s business opportunity whatsoever on any Connection Tree Internet forum.
    
    
• 6. Competing Products and Services. The Company reserves the right to restrict the use of The Connection Tree network to promote any competing products or services, such as: other real estate/business networks or wealth building educational products.
  
  
• 7. Violation of Posting Policies. Postings that violate any of the Posting Policies stated herein may not receive approval for active posting on The Connection Tree site until the issue in question has been addressed. When conducting Posting Review, new Postings added to The Connection Tree site are examined to determine whether such Postings are in compliance with the Posting Policies. In the event Posting Review determines that a Posting violates Posting Policies (including but not limited to containing inaccurate or incomplete information), Posting Review will send an e-mail message to Site User about such Profile, stating how such proposed Posting does not conform to established Posting Policies and offering solutions on how to rectify the deficiency. Notwithstanding any provision of these Posting Policies, The Connection Tree is not obligated to conduct Posting Review or to follow any schedule in performing Posting Review.
  
  After Site User receives notice from Posting Review, Site User will be given a reasonable amount of time (typically 48 hours) to respond. It is then the sole responsibility of Site User to review the communication from Posting Review, revise the Posting as appropriate, and resubmit the corrected Posting. Once the appropriate revision has been made and Posting Review determines that the Posting is compliant with Posting Policies, the Posting will be made available for full viewing on the site.
  
  If Site User fails to respond to the communication from Posting Review or continues to violate these Posting Policies and Guidelines, The Connection Tree, in its sole discretion, reserves the right to remove any and all content that continues to violate the Posting Policies and/or suspend the Site User’s Membership.
